What Happens to Unpaid Invoices When a Freelance Contract Ends?

Check your contract

A contract ending does not necessarily wipe out money already owed.

But the agreement should make clear what happens to:

  • outstanding invoices;
  • unbilled work;
  • expenses;
  • work in progress;
  • deposits.

The useful question is:

If the agreement ends today, what becomes immediately payable?

Read payment and termination together

The termination clause may say the agreement ends immediately.

The payment clause may say invoices are due Net 30.

Which rule applies to outstanding amounts after termination?

Some contracts expressly state that all accrued fees become due. Others leave the issue less clear.

Work completed but not yet invoiced

Suppose you invoice monthly and the client terminates halfway through the month.

Check whether you may invoice:

  • hours already worked;
  • completed milestones;
  • approved expenses;
  • committed third-party costs.

A contract that only refers to “issued invoices” may not answer what happens to work not yet billed.

Final invoice timing

The agreement may specify:

  • immediate final invoicing;
  • invoicing on the normal cycle;
  • a special termination statement.

Knowing the process helps avoid administrative disputes after the relationship ends.

Deposits

A deposit may be:

  • credited against the final invoice;
  • refundable in certain circumstances;
  • expressly non-refundable.

Do not assume the word “deposit” answers this on its own.

Client termination for breach

Some contracts treat termination for alleged freelancer breach differently.

Check whether the client may:

  • withhold unpaid fees;
  • set off claimed losses;
  • refuse payment for incomplete work.

Those rights can materially affect the final balance.

IP can depend on payment

If ownership transfers only after payment, unpaid invoices may also affect whether the client owns or may use the work.

Questions to ask before signing

Check:

  • Are accrued fees payable on termination?
  • Can you invoice work in progress?
  • What happens to expenses?
  • When is the final invoice due?
  • Can the client set off other claims?
  • How is the deposit treated?
  • Does IP transfer depend on payment?
